1. Acceptance and Agreement

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and PrismBot ("we," "us," "our," or "Company"). By accessing, registering for, or using PrismBot services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our services. If you are using PrismBot on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

2.1 Core Services

PrismBot provides an AI-powered personal assistant platform accessible through Telegram, offering:

  • Conversational AI assistant with memory and context retention
  • Integration with Google Workspace services (Gmail, Calendar, Drive, Docs, Sheets, Contacts)
  • Knowledge base management and file processing capabilities
  • Task automation and workflow assistance
  • Multiple subscription tiers with varying features and usage limits

2.2 Subscription Tiers

  • Intern (7-day Trial): Included trial credits, basic features
  • Analyst ($19/month): Larger included credits and enhanced features
  • Consultant ($79/month): Advanced features with dedicated container isolation
  • Partner ($199/month): Premium features and priority support
  • Business (Custom pricing): Enterprise solutions with custom configurations

2.3 Technical Infrastructure

Our services are delivered through:

  • Isolated Docker containers for each user (enhanced isolation for Consultant+ tiers)
  • EU-based hosting on Hetzner infrastructure (Germany)
  • Supabase for secure data storage and authentication
  • AI models for message processing and responses
  • Integration APIs for Google Workspace connectivity

3. User Accounts and Registration

3.1 Account Creation

To use PrismBot, you must:

  • Be at least 16 years of age
  • Provide accurate and complete registration information
  • Have a valid Telegram account
  • Maintain the security and confidentiality of your account credentials

3.2 Account Responsibility

You are responsible for:

  • All activities that occur under your account
  • Maintaining accurate account information
  • Immediately notifying us of any unauthorized access
  • Complying with these Terms and applicable laws

3.3 Individual Use

Unless you have a Business plan, each account is intended for individual use only. Sharing accounts, credentials, or access with others is prohibited and may result in account suspension.

4. Google Workspace Integration

4.1 Integration Authorization

Google Workspace integration is optional and requires your explicit consent. By connecting your Google account, you authorize PrismBot to access the following services on your behalf:

  • Gmail (read, send, and manage emails)
  • Google Calendar (view, create, and manage events)
  • Google Drive (access, organize, and manage files)
  • Google Contacts (read and manage contact information)
  • Google Docs and Sheets (create, edit, and manage documents)
  • Google Directory (read organization information)

4.2 User Responsibility for Google Data

When using Google Workspace integration, you acknowledge and agree that:

  • You have the right to grant PrismBot access to your Google data
  • You are responsible for ensuring your use complies with your organization's policies
  • You understand the scope of permissions granted to PrismBot
  • You can revoke access at any time through your Google Account settings
  • Your AI assistant will have the same access permissions you grant to PrismBot

4.3 Google Workspace Compliance

Our Google Workspace integration:

  • Complies with Google's API Services User Data Policy
  • Adheres to Limited Use requirements for Google user data
  • Does not use Google data for advertising or selling to third parties
  • Implements appropriate security measures for Google OAuth tokens
  • Maintains audit logs of Google API interactions

4.4 Third-Party Service Limitations

Google Workspace services are provided by Google Inc. and are subject to:

  • Google's Terms of Service and Privacy Policy
  • Service availability and performance controlled by Google
  • Rate limits and quotas imposed by Google APIs
  • Changes to Google API functionality or policies

We are not responsible for any issues, outages, or changes to Google services that may affect PrismBot functionality.

5. AI Data Processing and User Content

5.1 Content Processing

Your messages and content are processed through AI systems to provide assistant functionality. This includes:

  • Natural language processing for understanding requests
  • Context analysis for maintaining conversation memory
  • Content generation for responses and assistance
  • Integration with your connected services for task execution

5.2 Content Ownership and Rights

You retain ownership of all content you create, upload, or share through PrismBot. By using our services, you grant us a limited license to:

  • Process your content to provide AI assistant services
  • Store and maintain your data as necessary for service functionality
  • Use anonymized, aggregated data for service improvement (opt-out available)

5.3 AI Model Limitations

You acknowledge that AI-generated content:

  • May contain inaccuracies, errors, or biases
  • Should not be relied upon for critical decisions without verification
  • Is provided "as is" without warranties of accuracy or completeness
  • May reflect patterns from training data rather than factual information

5.4 Data Processing Legal Basis (GDPR)

For users in the EU, we process your data based on:

  • Contract Performance: Processing necessary to provide PrismBot services
  • Consent: Optional integrations like Google Workspace (withdrawable)
  • Legitimate Interests: Service improvement, security, and fraud prevention
  • Legal Obligation: Compliance with applicable laws and regulations

6. Acceptable Use Policy

6.1 Prohibited Activities

You agree not to use PrismBot for:

  • Illegal activities, fraud, or violation of applicable laws
  • Generating harmful, abusive, hateful, or discriminatory content
  • Creating or distributing malware, viruses, or malicious code
  • Spamming, phishing, or unauthorized marketing activities
  • Attempting to reverse engineer, hack, or breach our systems
  • Reselling access without explicit authorization
  • Impersonating others or providing false information
  • Violating intellectual property rights of others

6.2 Content Guidelines

All content shared with PrismBot must comply with:

  • Applicable laws and regulations
  • Respect for others' privacy and rights
  • Professional and ethical standards
  • These Terms of Service and our Privacy Policy

6.3 Usage Monitoring

We reserve the right to:

  • Monitor usage patterns for abuse detection
  • Investigate reports of Terms violations
  • Suspend or terminate accounts for policy violations
  • Cooperate with law enforcement when required

7. Subscriptions, Billing, and Payments

7.1 Subscription Plans

Subscription details:

  • Billing cycles are monthly or annual as selected
  • Prices are displayed in USD and exclude applicable taxes
  • Plans automatically renew unless cancelled
  • Price changes will be communicated 30 days in advance

7.2 Payment Processing

Payments are processed securely through Stripe:

  • Payment methods include credit cards and other Stripe-supported options
  • Failed payments may result in service suspension
  • You are responsible for keeping payment information current
  • All transactions are subject to Stripe's terms and policies

7.3 Credits and Usage

Usage limitations:

  • Credits are the primary usage meter across requests and tool actions
  • Included monthly credits reset at billing cycle boundaries
  • Purchased top-up credits expire according to the active credit policy
  • Fair use policies apply to prevent system abuse

7.4 Cancellation and Refunds

Cancellation terms:

  • You may cancel your subscription at any time
  • Access continues until the end of your current billing period
  • No automatic refunds for partial periods
  • Refund requests are evaluated on a case-by-case basis
  • Account data is retained for 90 days after cancellation

8. Data Retention and Deletion

8.1 Data Retention Periods

We retain different types of data for varying periods:

  • Conversation History: According to subscription tier settings or user preferences
  • Account Information: While account is active plus 90 days after cancellation
  • Google Integration Data: Until integration is disconnected plus 30 days
  • Billing Records: 7 years for accounting and tax compliance
  • Security Logs: 90 days for security monitoring and incident response

8.2 Data Deletion Rights

You have the right to:

  • Delete specific conversations or knowledge base entries
  • Request complete account and data deletion
  • Remove Google Workspace integration and associated data
  • Export your data before deletion

8.3 Automatic Deletion

Data is automatically deleted:

  • 90 days after account cancellation (unless extended by legal requirements)
  • When retention periods expire for specific data types
  • Upon user request (within 30 days for most data types)
  • When Google integration is revoked (within 30 days)

9. Service Availability and Performance

9.1 Service Level Expectations

While we strive for high availability, we do not guarantee:

  • 100% uptime or uninterrupted service availability
  • Specific response times for AI-generated content
  • Continuous access to third-party services (Google, Telegram)
  • Compatibility with all devices or network configurations

9.2 Maintenance and Updates

We reserve the right to:

  • Perform scheduled maintenance with reasonable notice
  • Update software, features, and infrastructure
  • Temporarily suspend service for security or technical reasons
  • Modify features or functionality with user notification

9.3 Third-Party Dependencies

PrismBot relies on external services that may affect availability:

  • Telegram: Required for bot interaction and messaging
  • Google APIs: For Workspace integration functionality
  • AI Providers: For AI processing and response generation
  • Infrastructure Providers: Hetzner, Supabase, Vercel for hosting

We are not liable for issues caused by third-party service disruptions.

10. Intellectual Property Rights

10.1 PrismBot Intellectual Property

We own and retain all rights to:

  • The PrismBot service, software, and platform
  • Our trademarks, logos, and brand elements
  • Proprietary algorithms and technical implementations
  • Documentation, guides, and educational content

10.2 User Content Rights

You retain ownership of content you create or upload. However:

  • AI-generated content is provided without warranty of originality
  • You are responsible for ensuring your content doesn't infringe others' rights
  • We may use anonymized, aggregated data for service improvement
  • You grant us necessary rights to process and store your content for service provision

10.3 Infringement Claims

If you believe PrismBot infringes your intellectual property:

  • Contact us immediately at support@prismbot.ai
  • Provide detailed information about the alleged infringement
  • We will investigate and respond promptly
  • We respect intellectual property rights and will take appropriate action

11. Limitations of Liability and Warranties

11.1 Service Disclaimer

PrismBot is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, including:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of service availability, performance, or reliability
  • Accuracy, completeness, or usefulness of AI-generated content
  • Security against all possible threats or vulnerabilities

11.2 Limitation of Damages

To the maximum extent permitted by law, PrismBot shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from third-party services or integrations
  • Any damages exceeding the amount you paid for PrismBot in the 12 months preceding the claim

11.3 AI Content Disclaimer

Regarding AI-generated content:

  • Content may contain inaccuracies, biases, or errors
  • Users should verify important information independently
  • We are not responsible for decisions made based on AI recommendations
  • Content should not be used as professional advice without expert consultation

12. Indemnification

You agree to indemnify, defend, and hold harmless PrismBot, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of PrismBot services
  • Violation of these Terms or applicable laws
  • Infringement of third-party intellectual property rights
  • Your content or data shared through PrismBot
  • Unauthorized access to your account due to your actions or negligence

13. Termination

13.1 Termination by User

You may terminate your account at any time by:

  • Canceling your subscription through your account dashboard
  • Contacting our support team at support@prismbot.ai
  • Following the account deletion process

13.2 Termination by PrismBot

We may suspend or terminate your account for:

  • Violation of these Terms or our policies
  • Fraudulent or abusive behavior
  • Failed payments or billing issues
  • Legal requirements or law enforcement requests
  • Extended inactivity (after notice)

13.3 Effects of Termination

Upon termination:

  • Access to PrismBot services will cease immediately
  • Data will be retained for 90 days for potential account recovery
  • Google integrations will be disconnected
  • Outstanding fees remain due and payable
  • These Terms remain in effect for outstanding obligations

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Germany and the European Union. For users outside the EU, local consumer protection laws may also apply where they provide greater protection.

14.2 Dispute Resolution Process

For dispute resolution:

  • Step 1: Contact support@prismbot.ai to resolve issues informally
  • Step 2: If unresolved, we encourage mediation through appropriate dispute resolution services
  • Step 3: Legal action may be pursued in courts of competent jurisdiction

14.3 GDPR Rights for EU Users

EU users have additional rights under GDPR, including:

  • Right to data portability and access
  • Right to rectification and erasure
  • Right to restrict processing
  • Right to object to processing
  • Right to lodge complaints with supervisory authorities

15. Changes to Terms

15.1 Notification Process

We may update these Terms from time to time. For material changes:

  • Users will be notified by email at least 30 days in advance
  • Updated Terms will be posted on our website
  • The "Last updated" date will be modified
  • Continued use after the effective date constitutes acceptance

15.2 Objection to Changes

If you disagree with updated Terms:

  • You may terminate your account before changes take effect
  • Contact us to discuss specific concerns
  • Previous versions of Terms are available upon request

16. Miscellaneous Provisions

16.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrismBot regarding the use of our services.

16.3 Assignment

You may not assign or transfer your rights under these Terms. PrismBot may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
